Terms and Conditions for Quarterly Subscription Photography Services

1. Subscription Overview

1.1 These terms and conditions govern the agreement between the photographer (Michael Letterlough Jr.) and the client for quarterly retainer/subscription photography services.
1.2 The subscription includes the specified number of shoots, edited images,and other deliverables as outlined in the selected package.

2. Payment and Subscription Renewal

2.1 Payment for the retainer is due in full at the beginning of each quarter.
2.2 Subscription renewals occur automatically unless canceled or modified by written notice at least 14 days before the next billing cycle.
2.3 Failure to pay on time may result in a suspension of services until the balance is cleared.

3. Scheduling and Deliverables

3.1 Clients must schedule their shoots at least 30 days in advance, subject to the photographer’s availability.
3.2 Unused shoots may roll over based on the package's roll-over credit policy(refer to package details).
3.3 Standard turnaround times for edited images and videos are as outlined in the selected package.

4. Travel and On-Location Shoots

4.1 Local travel (within 30 miles of Los Angeles, CA) isincluded in all packages.
4.2 For locations outside the 30-mile radius, the client is responsible for travel expenses, including transportation, lodging, and per diem costs as applicable.
4.3 Travel arrangements must be confirmed in writing at least 14 days before the shoot.

5. Additional Services and Costs

5.1 Extra Shoots: Clients may book additional shoots beyond their package for a discounted rate of $600 per session.
5.2 Extra Images: Additional retouched images can be purchased at $45 per image.
5.3 Extended Shooting Time: Shoots exceeding the allotted time will incur an overtime fee of $50 per hour.

6. Revisions and Image Re-Editing

6.1 The number of included retouched images is specified in the package.
6.2 Any additional retouching or revisions beyond the included number will be billed at $X per image.
6.3 Re-edit requests must be submitted within 14 days of receiving the final images.

7. Cancellation and Rescheduling

7.1 Shoots canceled or rescheduled with less than 48 hours’ notice may incur a cancellation fee of $100.
7.2 In the event of unforeseen circumstances (e.g., illness, emergency),rescheduling fees may be waived at the photographer’s discretion.

8. Ownership and Usage Rights

8.1 The photographer retains copyright ownership of allimages and videos produced.
8.2 The client receives a non-exclusive license to use the deliverables forpersonal or commercial purposes as outlined in the agreement.
8.3 Images may not be resold, re-edited, or distributed to third partieswithout prior consent.

9. Liability and Indemnification

9.1 The photographer is not liable for delays caused byclient actions, such as late arrivals or failure to provide necessarymaterials.
9.2 The client agrees to indemnify the photographer against any claims arisingfrom the use of the deliverables.

10. Force Majeure

10.1 The photographer is not liable for delays orcancellations caused by events beyond their control, including but not limitedto natural disasters, government restrictions, or technical failures.

11. Miscellaneous

11.1 Any changes to these terms must be agreed upon inwriting.
11.2 This agreement is governed by the laws of the State of California.
